Definitions

In these Terms and Conditions, the following definitions apply throughout:

• "SEO Expert Agra", "we", "us", "our" — refers to SEO Expert Agra, a digital marketing and SEO agency operating from Agra, Uttar Pradesh, India, and its authorised representatives, employees, and contractors.
• "Client", "you", "your" — refers to any individual, business owner, company, or organisation that accesses our website, submits an enquiry, requests a free audit, or engages our services.
• "Website" — refers to seoexpertagra.com and all associated pages, subdomains, and content hosted therein.
• "Services" — refers to all digital marketing services provided by SEO Expert Agra, including but not limited to: Search Engine Optimisation (SEO), Local SEO, Google Ads / PPC management, Social Media Marketing, Content Marketing, Website Design & Development, and Free SEO Audits.
• "Agreement" — refers to the specific service contract or proposal agreed between SEO Expert Agra and the Client for the provision of paid Services.
• "Content" — refers to all text, images, graphics, videos, reports, audits, strategies, and other materials created or delivered by SEO Expert Agra as part of the Services.
• "Confidential Information" — refers to any business, technical, financial, or operational information disclosed by either party in the course of the business relationship that is not publicly available.

Acceptance of Terms

By using our website, requesting a free SEO audit, subscribing to our newsletter, or engaging SEO Expert Agra for any service — whether paid or free — you agree to these Terms and Conditions in their entirety.

For paid services, a separate written Agreement or service proposal will be provided. In the event of any conflict between these general Terms and Conditions and a specific service Agreement, the terms of the specific Agreement shall take precedence.

Services & Scope of Work

3.1 Free SEO Audit

Our free SEO audit is provided as a complimentary service at no charge and with no obligation to purchase any paid service. The audit is conducted on a good-faith basis and represents our professional assessment of your website's current SEO status at the time of analysis. It is advisory in nature only and does not constitute a guarantee of any specific outcome.

3.2 Paid Services

All paid services will be governed by a specific service Agreement or proposal that details the exact scope of work, deliverables, timeline, and pricing. Services only commence upon:

• Both parties agreeing on the scope and pricing (verbally or in writing)
• Receipt of the agreed advance payment or first monthly retainer
• The Client providing all necessary access, information, and approvals required to begin work

3.3 Modifications to Scope

Any request by the Client to significantly change the scope of work — including adding new services, targeting additional keywords, or requiring deliverables not included in the original Agreement — must be agreed in writing and may result in a revised pricing proposal. We reserve the right to charge additionally for work that falls outside the originally agreed scope.

3.4 Third-Party Services

Some services (such as Google Ads management or social media advertising) require separate advertising budgets paid directly to third-party platforms (Google, Meta, etc.). These costs are entirely separate from our management fees and are the Client's responsibility. We are not responsible for any costs incurred on third-party advertising platforms.

Payment Terms

4.1 Fees & Invoicing

All service fees are as quoted in the written proposal or Agreement and are payable in Indian Rupees (INR). Unless otherwise stated in the Agreement:

• Monthly retainer services (SEO, social media management) — Payment is due in advance at the beginning of each month
• One-time projects (website design, SEO audits) — A deposit of 50% is due before work commences; the remaining 50% is due upon project completion and before final delivery
• Website design projects — Final files and transfer of ownership only occur after full payment has been received
• Google Ads/PPC campaigns — Management fee is due monthly in advance; advertising spend is paid directly to Google by the Client

4.2 Late Payment

If payment is not received by the due date, we reserve the right to:

• Pause or suspend all ongoing services until outstanding amounts are settled
• Charge a late payment fee of 2% per month on overdue amounts
• Pause any active Google Ads or social media campaigns (which may result in loss of campaign data and performance history)

We will provide reasonable notice before suspending services and will always endeavour to resolve payment issues amicably before taking formal action.

4.3 Refund Policy

Due to the nature of digital marketing services — where our team invests time, expertise, and resources from the beginning of each billing period — we operate the following refund policy:

• Monthly retainer services — No refunds for the current billing month if work has commenced. Cancellation for future months is accepted with 30 days written notice.
• One-time project deposits — Non-refundable once work has commenced. If we fail to deliver the agreed scope, a partial refund may be considered at our discretion.
• Free SEO Audit — No charge and no refund applicable.

4.4 Price Changes

We reserve the right to update our service pricing with at least 30 days written notice to existing clients. Price changes will only apply from the start of the next billing cycle and never mid-contract.

Obligations & Responsibilities

A successful digital marketing engagement requires commitment and cooperation from both parties. Here is what each party is responsible for:

SEO Results Disclaimer

While we have an excellent track record — with over 500 businesses ranked on Page 1 across Agra and India — we cannot guarantee specific search engine rankings, positions, traffic volume, or revenue outcomes as a result of our SEO services.

SEO results are influenced by many factors beyond our control, including:

• Frequent updates to Google's search algorithm (which can affect rankings across the entire industry)
• The competitive landscape in your specific industry and location
• The current authority and history of your domain
• Actions taken by your competitors on their own websites
• Changes you or your team make to your website without our knowledge
• Your Google Business Profile status and history
• The overall quality and relevance of your products or services to search queries

We commit to using industry best practices, working diligently toward agreed goals, and providing full transparency about progress and challenges. Any timelines or projections we provide are estimates based on our experience — they are not contractual commitments.

Intellectual Property & Ownership

7.1 Content Created for Clients

Upon receipt of full payment for the relevant services, all content we create specifically for you — including blog posts, website copy, social media content, graphics, and video scripts — becomes your property. You may use this content freely for any purpose related to your business.

7.2 Strategies, Reports & Methodologies

SEO strategies, audit reports, keyword research documents, campaign frameworks, and proprietary methodologies we develop remain the intellectual property of SEO Expert Agra. You may use these insights to inform your business decisions, but may not share, sell, or sublicense them to third parties, including competitor businesses.

7.3 Website Design Projects

Upon full payment of a website design project, the complete website design, code, and associated assets are transferred to you. We retain the right to showcase the completed project in our portfolio and case studies unless you request otherwise in writing.

7.4 Our Website Content

All content on seoexpertagra.com — including text, images, logos, graphics, videos, blog posts, and case studies — is the intellectual property of SEO Expert Agra and is protected by applicable Indian copyright law. You may not reproduce, distribute, modify, or use our content without our prior written permission.

7.5 Client-Provided Materials

You warrant that any materials, logos, images, or content you provide to us for use in delivering our services are owned by you, or that you have obtained all necessary licences and permissions to use them. You indemnify SEO Expert Agra against any claims arising from our use of materials you provide.

Confidentiality

Both parties agree to maintain strict confidentiality regarding any Confidential Information disclosed during the course of their business relationship. This includes, but is not limited to:

• Business strategies, marketing plans, financial information, and performance data
• Website access credentials, Google account logins, and advertising account details
• Client and customer data, email lists, and CRM information
• Proprietary SEO strategies, keyword targets, and competitive intelligence
• Pricing, proposals, and contractual terms shared between the parties

This confidentiality obligation shall survive the termination of the business relationship for a period of three (3) years. Neither party shall use the other's Confidential Information for any purpose other than fulfilling their obligations under the Agreement.

Acceptable Website Use

You may use our website for lawful purposes and in accordance with these Terms. You agree NOT to use our website in any way that:

• Is unlawful, harmful, fraudulent, threatening, abusive, or otherwise objectionable
• Violates any applicable local, national, or international law or regulation in India
• Involves scraping, crawling, or harvesting any information from our website using automated tools
• Attempts to gain unauthorised access to any part of our website or server infrastructure
• Introduces viruses, malware, or any other malicious code to our website
• Misrepresents your identity or impersonates another person or organisation
• Uses our contact forms or email channels to send unsolicited commercial messages (spam)
• Reproduces, distributes, or exploits our website content without written authorisation

We reserve the right to restrict access to our website to any individual or organisation that violates these acceptable use terms, without notice or liability.

Disclaimer of Warranties

Our website and all information provided through it — including blog posts, guides, tools, and free audit reports — are provided "as is" and "as available" without any representation or warranty, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the website will be uninterrupted, error-free, or free from viruses or harmful components
• Warranties that any information provided is accurate, complete, current, or reliable for your specific circumstances

While we make every effort to ensure the accuracy of information on our website, digital marketing is a rapidly evolving field. We recommend verifying important decisions with current professional advice appropriate to your specific situation.

Limitation of Liability

To the maximum extent permitted by applicable Indian law, SEO Expert Agra shall not be liable for any of the following losses, even if we have been advised of the possibility of such losses:

• Loss of revenue, profits, business, contracts, or anticipated savings
• Loss of data or business information
• Loss of goodwill or reputation
• Any indirect, special, incidental, or consequential loss or damage
• Losses resulting from changes to Google's algorithm or third-party platform policies outside our control
• Losses resulting from actions taken by you or your team on your website or accounts without our knowledge

Where liability cannot be fully excluded by law, our total aggregate liability to you in connection with any services or your use of our website shall not exceed the total fees paid by you to SEO Expert Agra in the three (3) months immediately preceding the event giving rise to the claim.

Termination of Services

12.1 Termination by Client

You may terminate ongoing monthly services at any time by providing 30 days written notice via email to info@seoexpertagra.com. During the 30-day notice period, full service and billing will continue. No refund is available for the current billing period if services have already commenced.

12.2 Termination by SEO Expert Agra

We reserve the right to terminate services immediately and without liability to you in the following circumstances:

• Non-payment of invoices beyond 15 days of the due date, despite written notice
• You ask us to engage in black-hat, unethical, or illegal SEO practices
• You breach any material term of these Terms and Conditions or the service Agreement
• You engage in any conduct that damages or could damage the reputation of SEO Expert Agra
• Circumstances beyond our reasonable control make delivery of services impossible

In all other circumstances, we will provide 30 days written notice of termination, complete all in-progress deliverables, and provide a pro-rata refund for any prepaid fees covering the unused portion of the notice period.

12.3 Effect of Termination

Upon termination for any reason, we will:

• Provide a final performance report covering all work completed
• Transfer all completed content, deliverables, and campaign data to you
• Remove our access to all your accounts and credentials within 7 business days
• Return any materials or assets you provided to us during the engagement

Governing Law & Dispute Resolution

These Terms and Conditions and any Agreement between SEO Expert Agra and the Client shall be governed by and construed in accordance with the laws of India, specifically the laws of Uttar Pradesh.

In the event of any dispute, claim, or disagreement arising from these Terms, our services, or any Agreement, both parties agree to first attempt to resolve the matter amicably through good-faith negotiation within 30 days of written notice of the dispute.

If the dispute cannot be resolved through negotiation, both parties agree to submit to the exclusive jurisdiction of the courts located in Agra, Uttar Pradesh, India. Both parties waive any objection to the exercise of jurisdiction by these courts or to the venue of proceedings in Agra.

Changes to These Terms

We may update or revise these Terms and Conditions from time to time to reflect changes in our business practices, applicable laws, or service offerings. When we make changes:

• The "Last Updated" date at the top of this page will be updated
• The revised Terms will be published on this page with the new effective date
• For material changes that significantly affect existing clients' rights or obligations, we will provide at least 14 days prior written notice via email
• Continued use of our website or services after the effective date of any changes constitutes your acceptance of the revised Terms

We encourage you to review these Terms periodically. The version published on our website at any given time is the version in force for all interactions from that date forward.
